Terms & Condition

Terms & Condition

These Terms govern how businesses and individuals work with Lisaan Digital & Software House — across website design, WordPress development, SEO, digital marketing, software and AI services. Please read them before starting a project with us.

01

About Lisaan Digital

Lisaan Digital & Software House is a digital services and software development business providing technology, design, marketing, development, automation, and related professional services to individuals, businesses, organizations, and other clients.

Our services may be provided remotely and may involve clients, contractors, freelancers, technology providers, hosting companies, software platforms, advertising platforms, payment providers, and other third-party service providers located in different countries.

These Terms apply to all services unless a separate written agreement, proposal, quotation, statement of work, invoice, or service-specific agreement expressly replaces or modifies a particular provision of these Terms. Where a signed or otherwise accepted project agreement contains terms that conflict with these Terms, the specific written agreement will generally control for that project to the extent of the conflict.

Website Design & Development

SEO & Digital Marketing

Creative Services

The exact scope, deliverables, timelines, fees, revisions, and responsibilities for a particular Project will be determined by the applicable quotation, proposal, invoice, statement of work, or written agreement.

05

Project Scope

Before work begins, Lisaan Digital may provide the Client with a quotation, proposal, project brief, scope of work, or other written description of the Project. The agreed scope may include:

Lisaan Digital is responsible for delivering the agreed scope only. Requests outside the agreed scope may be treated as additional work and may require additional fees and/or additional time.

06

Changes to Project Scope

Clients may request changes during a Project. Changes that materially affect the original scope may result in:

Lisaan Digital is not obligated to perform substantial additional work without appropriate approval and payment. Repeated changes, changes after approval, or changes that require previously completed work to be redesigned or redeveloped may be charged separately.

07

Client Responsibilities

The Client agrees to provide all information, materials, access, approvals, and cooperation reasonably required to complete the Project. This may include:

The Client is responsible for ensuring that all information supplied to Lisaan Digital is accurate, complete, lawful, and up to date. Delays caused by missing information, delayed approvals, unavailable access, inaccurate requirements, or client-side changes may affect the Project timeline.

08

Client Content and Materials

The Client represents and warrants that it owns, licenses, or otherwise has sufficient legal rights to use all content, materials, trademarks, images, videos, text, software, data, documents, and other materials provided to Lisaan Digital.

The Client must not provide material that:

The Client remains responsible for the legality and accuracy of Client-provided materials.

09

Intellectual Property

Unless otherwise agreed in writing, each party retains ownership of intellectual property it owned before the Project. This includes, where applicable:

Lisaan Digital does not automatically transfer ownership of its pre-existing tools, systems, frameworks, reusable components, development methods, templates, or proprietary technology merely because they are used in a Client Project.

10

Ownership of Final Deliverables

Subject to full payment of all outstanding Project Fees, Lisaan Digital may transfer or grant the Client the agreed rights to use the final Deliverables specified in the applicable Project agreement. Unless otherwise agreed in writing:

Where applicable, the Client may be required to purchase or maintain separate licenses for third-party software or assets.

11

Source Code and Development Files

Source code, editable design files, project files, development files, internal documentation, configuration files, and other working materials are not automatically included unless specifically stated in writing. If source files are included in the agreed Project, they may be delivered after the Client has fully paid all applicable fees.

Lisaan Digital may retain reusable code, development frameworks, libraries, components, automation systems, technical methods, and general know-how that do not contain the Client’s confidential information.

12

Website Development Terms

Website development projects may involve WordPress, Elementor, plugins, themes, APIs, hosting providers, payment gateways, security services, analytics systems, and other third-party technologies. Lisaan Digital will make reasonable professional efforts to develop the website according to the agreed scope.

However, website performance may depend on factors outside our control, including:

Accordingly, Lisaan Digital does not guarantee that a website will remain completely free from technical issues indefinitely.

13

Website Maintenance and Support

Website development and website maintenance are separate services unless explicitly included in the Project agreement. After delivery, changes caused by the following may require additional charges if they fall outside the agreed support or maintenance period:

Any complimentary support period, if offered, applies only to issues related to the delivered scope and does not automatically include new features, redesigns, third-party failures, or client-created issues.

14

SEO Services

SEO involves ongoing optimization and is affected by search engine algorithms, competition, website quality, content, backlinks, technical factors, market conditions, and numerous external variables. Lisaan Digital may provide SEO strategies and implementation designed to improve search visibility. However:

No agency can legitimately guarantee permanent or specific Google rankings because search engines independently determine crawling, indexing, ranking, and search-result presentation. Google's own Search Essentials also makes clear that following SEO best practices does not guarantee that a page will be crawled, indexed, or served in search results.

We will use reasonable professional efforts and accepted SEO practices but cannot guarantee specific outcomes.

15

Digital Advertising and Marketing

For advertising and marketing services, Lisaan Digital may assist with campaign strategy, advertising setup, audience targeting, creative development, campaign management, optimization, reporting, lead generation and conversion optimization.

Advertising results are influenced by numerous factors outside our control, including market demand, competition, Client pricing, product quality, website conversion rate, advertising platform algorithms, account history, audience behavior, seasonal factors, budget, and platform policies.

Therefore, Lisaan Digital does not guarantee a specific number of leads, sales, impressions, clicks, conversions, revenue, return on ad spend, or other commercial result unless expressly guaranteed in a separate written agreement.

16

Advertising Budget

Advertising spend paid to Meta, Google, YouTube, TikTok, LinkedIn, or another advertising platform is generally separate from Lisaan Digital’s professional service fees unless expressly stated otherwise. The Client is responsible for maintaining sufficient advertising budget and valid payment methods.

Lisaan Digital is not responsible for advertising-platform charges, account restrictions, rejected advertisements, disabled accounts, payment failures, policy enforcement, or changes made by advertising platforms.

17

Third-Party Services

Lisaan Digital may use or recommend third-party services, including hosting providers, domain registrars, WordPress plugins, themes, Elementor, cloud services, payment gateways, Google and Meta services, analytics tools, email services, APIs, AI services, security services, CDN services, and stock libraries.

Third-party services are controlled by their respective providers and are subject to their own terms, licenses, privacy policies, pricing, availability, and technical limitations. Lisaan Digital is not responsible for the permanent availability, pricing, security, functionality, or policy decisions of third-party services. If a third-party provider changes, discontinues, restricts, suspends, or modifies its service, additional work may be required and may be chargeable.

18

AI and Automation Services

Where AI tools, APIs, automation systems, or machine-learning technologies are used, the Client understands that AI-generated or automated outputs may contain errors, omissions, inaccuracies, or unexpected results. AI systems should not automatically be treated as authoritative professional, legal, medical, financial, or regulatory advice.

The Client remains responsible for reviewing and approving important AI-generated outputs before publication or business use. Lisaan Digital does not guarantee that an AI system will always produce accurate, complete, original, unbiased, secure, or error-free results.

19

Content Writing and AI-Generated Content

Where Lisaan Digital provides content, copywriting, SEO content, AI-assisted content, or marketing copy, the Client is responsible for reviewing and approving final content before publication.

The Client should ensure that published content is appropriate for its industry and complies with applicable laws, regulations, advertising requirements, platform rules, and professional standards. Where required, Lisaan Digital may recommend human review, fact-checking, legal review, or specialist review before publication.

20

Payment Terms

The Client agrees to pay all fees according to the applicable quotation, proposal, invoice, or agreement. Unless otherwise agreed in writing:

A payment is considered complete only when the funds have been successfully received and cleared.

21

Deposits and Advance Payments

Unless a written agreement states otherwise, deposits or advance payments may be non-refundable once work has commenced, because they may cover project planning, research, design, development time, resource allocation, scheduling, and other work already performed or committed.

Where applicable law requires a refund or prohibits exclusion of a particular consumer right, that law will prevail.

22

Late Payments

If a Client fails to make a payment when due, Lisaan Digital may:

A Project delay caused by unpaid invoices will not be treated as a delay caused by Lisaan Digital.

23

Refund Policy

Refund eligibility depends on the nature of the service, the applicable agreement, work already performed, third-party costs, and applicable law. Digital services are often customized and involve time and resources that cannot always be returned once work has begun.

Unless otherwise stated in writing, refunds are not automatically available merely because the Client changes their mind, changes business direction, becomes unavailable, delays the Project, or no longer requires the service. Any refund, credit, or adjustment offered by Lisaan Digital is determined according to the applicable agreement and applicable law.

24

Project Timelines

Any Project timeline provided by Lisaan Digital is an estimate unless a specific deadline is expressly guaranteed in writing. Timelines may be affected by:

Lisaan Digital is not responsible for delays caused by circumstances outside its reasonable control.

25

Client Approval

The Client is responsible for reviewing and approving designs, content, functionality, advertising materials, and other Deliverables. Once a design, page, feature, campaign, or other Deliverable has been approved, later changes may be considered additional work.

The Client should carefully review names, addresses, phone numbers, email addresses, prices, product information, legal information, images, links, content, contact information, and business claims. Lisaan Digital is not responsible for errors in information supplied or approved by the Client.

26

Revisions

The number of revisions included in a Project will be specified in the relevant quotation or agreement. A revision means a reasonable modification within the original agreed direction and scope.

A revision does not mean a complete redesign, change of concept, new functionality, or significant alteration of the original requirements. Additional revisions may be charged separately.

27

Domain and Hosting

Where Lisaan Digital assists with domain or hosting services, ownership of the domain should remain with the Client unless otherwise agreed. The Client is responsible for maintaining accurate registration information and renewing domains where the Client owns the registration.

Hosting performance depends on the hosting provider, server resources, configuration, traffic, software, and other factors. Lisaan Digital is not responsible for outages, suspension, data loss, provider failures, or policy decisions made by third-party hosting companies.

28

Backups

The Client should maintain independent backups of important website, software, database, email, and business data. Unless backup services are expressly included in writing, Lisaan Digital does not guarantee that backups will be created, retained, or recoverable.

Where backup services are provided, backups may still be affected by technical failure, storage limitations, corruption, security incidents, or third-party infrastructure.

29

Security

Lisaan Digital may implement reasonable security practices appropriate to the agreed Project. However, no website, software, server, account, network, or online system can be guaranteed to be completely secure.

The Client is responsible for maintaining secure passwords, appropriate user permissions, updated third-party accounts, and secure access to its systems, and must not share credentials with unauthorized persons. Lisaan Digital is not responsible for security incidents caused by compromised third-party systems, weak Client credentials, unauthorized access, insecure hosting, outdated third-party software, or actions outside our reasonable control.

30

Confidentiality

Lisaan Digital will make reasonable efforts to protect confidential information received from Clients, which may include business strategies, login credentials, private documents, customer information, financial information, marketing strategies, proprietary business information, and technical information.

Confidential information will not knowingly be disclosed to unauthorized parties except where required by law, necessary to provide the Services, required by a service provider, authorized by the Client, already publicly available, independently developed, or required to protect legal rights or security.

Where a separate Non-Disclosure Agreement exists, the NDA will govern confidentiality matters to the extent of any conflict.

31

Privacy

Lisaan Digital may collect and process information necessary to provide Services, communicate with Clients, process payments, manage Projects, provide support, maintain security, and operate our business.

Our Privacy Policy explains how personal information is collected, used, stored, and protected. By using our Services, you acknowledge that our Privacy Policy forms part of your relationship with Lisaan Digital.

32

Personal Data Provided by Clients

If the Client provides personal information belonging to its customers, employees, users, or other individuals, the Client is responsible for ensuring that it has the legal authority and necessary permissions to provide that information to Lisaan Digital and to use it for the intended purpose.

The Client should not provide sensitive or unnecessary personal information unless it is required for the agreed Project. Where appropriate, additional data-processing or privacy agreements may be required.

33

Copyright and Intellectual Property Protection

Lisaan Digital respects intellectual property rights. Clients must not request or instruct Lisaan Digital to knowingly:

If Lisaan Digital reasonably believes that a requested activity may violate applicable law or third-party rights, we may refuse or modify the requested work.

34

Portfolio and Marketing Rights

Unless otherwise agreed in writing, Lisaan Digital may display completed Projects in its portfolio, website, social media, presentations, proposals, case studies, or marketing materials, and may identify the Client or business name when doing so where appropriate.

If a Project is confidential or the Client has purchased confidentiality rights, Lisaan Digital will respect the applicable written restriction.

35

Prohibited Uses

Clients must not use Lisaan Digital Services to create, distribute, promote, or facilitate unlawful activities, including but not limited to:

We reserve the right to refuse or terminate Services where reasonably necessary to protect our business, systems, personnel, Clients, or third parties. This approach is consistent with Google’s own published principles against abuse, fraud, malware, illegal activity, privacy violations, and intellectual-property violations.

36

Website and Search Engine Compliance

Clients are responsible for ensuring that their websites and businesses comply with applicable laws and platform policies. Lisaan Digital may recommend SEO and digital marketing practices intended to follow generally accepted search-engine guidelines.

We do not intentionally guarantee or promise manipulation of search engines. Search engines may change algorithms, policies, ranking systems, indexing behavior, or search-result presentation without notice.

37

No Guarantee of Business Results

Lisaan Digital provides professional digital services but does not guarantee revenue, profit, sales, leads, customers, search rankings, website traffic, advertising results, conversion rates, social media growth, viral content, business growth, or return on investment.

Results depend on many factors outside our control. Any performance guarantee must be expressly stated in a separate written agreement signed or approved by both parties.

38

No Professional Legal, Medical, Financial or Regulatory Advice

Unless specifically licensed and contracted to provide such advice, Lisaan Digital’s Services do not constitute legal, medical, financial, tax, investment, immigration, regulatory, or professional accounting advice.

Clients should consult qualified professionals for such matters.

39

Third-Party Platform Policies

Clients using Google, Meta, YouTube, TikTok, LinkedIn, WordPress, payment gateways, hosting providers, or other third-party platforms must comply with the applicable platform’s policies.

Lisaan Digital cannot guarantee approval of an account, advertisement, website, application, business listing, payment method, or other submission. A platform may reject, restrict, suspend, disable, or terminate an account or service independently of Lisaan Digital.

39

Suspension of Services

Lisaan Digital may suspend Services in circumstances reasonably necessary to protect its business, systems, personnel, Clients, or third parties, or where a Client fails to meet its obligations under these Terms.

The source document you shared ends mid-sentence at this clause. Add the remaining wording for Section 40 (and any sections beyond it — governing law, termination, limitation of liability, etc.) and I'll drop it straight into this page.
